    Role will focus on state and local taxes including state income/franchise and sales and use taxes with a majority of time spent participating in buy-side and sell-side tax due diligence engagements with both private equity and strategic corporate buyers.
  • Analyze tax returns for the historical tax periods to identify tax exposures and prepare tax models for use in evaluating targets and tax issues impacting cash flow.
  • Assist in reviewing legal documents to minimize risks identified during tax due diligence, and prepare due diligence reports for clients summarizing the analyses and highlighting key findings and recommendations.
  • Communicate findings directly to clients as well as internally
  • Provide tax structuring services for mergers and acquisitions, and understand the successor liability depending on the type of transaction (asset v. stock) and entity type and tax classification of the target company
  • Lead post-transaction consulting engagements such as State Nexus Studies and Voluntary Disclosure Agreements, and other state planning initiatives.
  • Develop and maintain strong client relationships/project management
  • Participate in business development efforts to help market the tax practice.
  • Review work papers prepared by staff; recommend changes, additional documentation, research, and / or calculations as necessary to comply with applicable tax law and Firm policy.


  • Bachelor's degree in Accounting, Business Administration, Finance or equivalent required
  • 4+ years of recent tax experience required, state and local tax experience preferred
  • Previous experience in a consulting or top 20 public accounting firm preferred
  • 1+ years of supervisory experience preferred
  • Demonstrated career achievements and academic excellence preferred
  • CPA or actively pursuing CPA is required
